Avago Technologies, founded in 1961, is a Singapore-based company that designs and develops analog semiconductors, custom chips, and RF and microwave device products, with joint headquarters in SAN Jose, California and Singapore. Avago is a supplier that designs, develops and supplies a wide range of analog semiconductor devices to customers worldwide. In 1961, Avago Technologies was founded as the semiconductor Products division of HP. Avago's first core product is based on LED technology. In 2005, Avago was part of the Agilent Semiconductor Group Products Division before being spun off into a separate legal entity. Avago High-tech offers a range of analog, mixed-signal and optoelectronic devices and subsystems. Avago sells products covering wireless, wired communications, industrial, automotive electronics and consumer electronics. The Avago high-tech product range includes: ASICs, optical fibers, LED lights and LED displays, motion control solutions, optical sensors - ambient light sensors and proximity sensors, photocouplers - sealed plastics, RF and microwave - including thin-film bulk acoustic wave resonators (FBAR) filters, GPS filters -LNA modules, and power amplifiers for mobile phones. In late 2005, Agilent's semiconductor division was acquired by Kohlberg Kravis Roberts and Silver Lake Partners and became an independent company. Today, Avago is the world's leading III-V semiconductor company with approximately 3,200 employees worldwide and fiscal 2009 net revenues of $1.5 billion. In 2006, PMC-Sierra acquired Avago's high-tech memory semiconductor division. In 2008, Avago went public on the NASDAQ under the ticker symbol AVGO, with plans to raise $400 million. In 2009, Avago filed an amendment to its registration statement with the SEC and began an initial public offering of its common stock. Avago is offering 36 million shares of its common stock at an estimated $15 per share. On December 16, 2013, Avago Avwar Technologies and LSI Corporation announced that they had entered into a definitive agreement for Avago Avwar Technologies to acquire LSI for $6.6 billion in cash ($11.15 per share). On May 7, 2014, Avago High-tech replaced LSI on the S&P 500 stock list (Large Scale Integrated Circuits). On May 29, 2014, Avago sold its SSD controller business to Seagate. Hock E. Tan is the Chief Executive Officer of Avago High-tech. In fiscal 2013, Avago had revenue of $2.5 billion, operating income of $552 million, net income of $552 million, total assets of $3.415 billion, total equity of $2.886 billion, and 8,500 employees.
Avago is said to have maintained a top 3 market leadership position in optocouplers, infrared transceivers, optical communication devices, printer ASics, optical mouse sensors and motion control encoders. Avago mainly provides composite III-V semiconductor products with exceptional strength in high-performance design and integration. Avago is the only supplier to integrate JPEG encoding and autofocus control in CIS devices on chip, and Avago is one of the leaders in integrating digital processing into sensor bare chips. Avago's product portfolio is broad and diverse, with approximately 6,500 products in four key target markets: wireless communications, Wired infrastructure, industrial and automotive electronics, and consumer and computer peripherals. In these target markets, Avago products can be used in mobile phones, home appliances, data networking and telecommunications equipment, enterprise storage and servers, power generation and renewable energy systems, factory automation, displays, optical mice and printers. Avago has a 50-year history of innovation, dating back to the days when it was part of Hewlett-Packard. After years of development, Avago has a team of more than 2,000 design and product engineers, and has a highly collaborative design and product development resources around the world. Avago has developed a broad portfolio of intellectual property that currently includes more than 4,700 patents and patent applications in the United States and other countries. Specific products of Avago include: Optical mouse sensors, semiconductor-based RF (radio frequency) filters, red and amber leds for electronic signs and signals, optical encoders for inkjet, laser and photo printers, optical integrated circuit photocouplers, high band optical transceivers, low noise amplifiers, high speed crosstalk/parallel modulators, etc.
On the evening of May 28, 2015, Avago Tech and chipmaker Broadcom jointly announced Thursday that they have entered into a definitive agreement under which Avago will acquire Broadcom for a total of approximately $37 billion in cash and stock. This is the largest acquisition in the history of the global chip industry. The combination of Avago and Broadcom would create the third-largest U.S. semiconductor maker by revenue, behind Intel and Qualcomm. Avago develops analog, digital and hybrid chips. Broadcom, which makes chips for about half the world's tablets and smartphones, had revenue of about $8.4 billion in 2014. The combined company would have an enterprise value of $77 billion and combined annual revenue of about $15 billion. Of the $37 billion offer, cash accounted for $17 billion and Avago's shares were worth about $20 billion. Upon completion of the transaction, Hock Tan, president and CEO of Avago High-tech, will become President and CEO of the new company. The new company name has been designated "Broadcom Limited" (Broadcom Limited). Henry Samueli, Broadcom's co-founder, CTO and chairman, and another Broadcom director will join the new company's board. In addition, Samuri will serve as CTO of the new company. Broadcom's other co-founder, Henry Nicholas, will serve as a strategic adviser to the new company, reporting to Tan Hulk. In 2015, major companies were on the acquisition road, and Avago's acquisition of Broadcom was influenced by Nokia's acquisition of Alcatel-Lucent, but compared to Nokia's $16.6 billion purchase price, Avago's bid is much higher. In the chip market, NXP Semiconductors' acquisition of Freescale Freescale for 16.7 billion dollars is likely to be worth 11.8 billion dollars when considering Freescale Freescale's debt.
